Tonkon Torp’s Entrepreneurial Services practice group works with start-up and fast-growing businesses to help entrepreneurs lay a financial and structural foundation for growth. The group also advises seed, angel, venture and other investment firms in all aspects of investing.
Drawing upon our firm’s long history of providing strategic counsel and transaction services to businesses at all stages of development, the interdisciplinary Entrepreneurial Services practice group is experienced in the issues and challenges that entrepreneurs and investors face in today’s dynamic start-up environment. We partner with founders and investors to help them efficiently and effectively implement their business plans and take timely advantage of opportunities.

Strong Advocates Who Build Relationships and Make Connections

From our Portland offices, Tonkon Torp attorneys have been actively involved with Pacific Northwest professional and community organizations for 40 years. We also work closely with the Oregon Entrepreneurs Network and Portland Seed Fund. We leverage our broad base of relationships to help connect emerging companies with potential funding sources, board members and management level employees, without losing sight of our paramount role as advocates for our clients. We pride ourselves in our ability to distill complicated information and processes into meaningful and understandable client communication.

Integrated and Cost-Effective Approach

We tailor our teams of experts to meet specific needs and responsibly manage limited start-up resources. To help new companies get off the ground quickly, Tonkon Torp offers a suite of proprietary start-up company documents that provide owners with the assurance of having well-crafted legal agreements at good value and for a predictable cost.
Services include:
  • Entity formation, structuring and governance.
  • Benefit Company registration for clients seeking to pursue triple bottom line goals.
  • Equity structuring.
  • Negotiating with investors, including seed, angel, venture capital and private equity investors.
  • Intellectual property protection, including licensing, distribution and sales agreements, and trademark and trade secret protection.
  • Tax and executive compensation.
  • Employee and consultant contracts, including non-compete and confidentiality agreements.
  • Government relations and regulatory compliance.
As emerging companies mature and evolve, Tonkon Torp’s experts in mergers and acquisitions, initial public offerings, real estate and other specialties can provide continuity in the client/legal advisor relationship.
